LIGHTHOUSE GOLD UPSIZES PRIVATE PLACEMENT TO UP TO $6,450,408 MILLION

Further to Lighthouse Gold Inc.'s news release dated Oct. 22, 2026, due to strong investor demand, it has increased the size of its previously announced private placement from (i) 33,334,000 units of the company, at 18 cents per unit, for gross proceeds of up to $6,000,120 to (ii) up to 35,835,600 units at 18 cents per unit for gross proceeds of up to $6,450,408.

Each unit will comprise one common share in the capital of the company and one-half of one share purchase warrant. Each warrant will be exercisable to purchase one additional share for a period of two years from the closing date at an exercise price of 28 cents per warrant share.

The company intends to use the proceeds from the offering for exploration and for general working capital purposes. completion of the offering is subject to customary conditions, including the receipt of all necessary regulatory approvals, including the approval of the Canadian Securities Exchange. Pursuant to applicable securities laws, all securities issued under the offering will be subject to a hold period which will expire four months and one day from the date of closing of the offering.

The company intends to close on or about Nov. 4, 2026
