LIGHTNING ANNOUNCES INCENTIVE PLAN GRANTS

Lightning Resource Corp. has granted deferred share units (DSUs) and incentive stock options to certain eligible persons, subject to the approval of the TSX Venture Exchange, and in accordance with the company's omnibus incentive plan approved by the board on May 29, 2026, and approved by shareholders at the company's annual general and special meeting held on July 3, 2026.

On Nov. 4, 2026, the company granted a total of 1.8 million DSUs to its directors, which will vest one year after their date of grant in accordance with TSX-V policies. Once vested, each DSU entitles the holder thereof to receive either one common share of the company, the cash equivalent of one common share or a combination of cash and common shares, as determined by the company, net of applicable withholdings. DSUs may not be settled until a director ceases to serve as a director of the company.

On Nov. 4, 2026, the company granted a total of 999,000 options to certain officers and consultants of the company. Each option is exercisable to purchase one common share of the company for five years at a price of 50 cents per common share, vesting immediately on the date of grant.
