MAYFAIR ACQUISITION CORP. ANNOUNCES PRIVATE PLACEMENT

Mayfair Acquisition Corp. has arranged a proposed non-brokered private placement of up to 21,627,000 common shares. Subject to the approval of the TSX Venture Exchange, up to 1,627,000 of the shares will be issued at a price of two cents and up to 20 million of the shares will be issued at a price of five cents for aggregate proceeds of up to $1,032,540.

Proceeds of the offering will be used for working capital purposes, including to finance management's continuing efforts reviewing and negotiating potential merger and/or acquisition opportunities to form the company's qualifying transaction under the policies of the exchange. One hundred per cent of the proceeds the two-cent offering will be used in connection with the company's efforts to complete a qualifying transaction that will maximize shareholder value.

Subject to compliance with applicable securities laws and the approval of the exchange, finders' fees may be payable to eligible arm's-length persons with respect to certain subscriptions accepted by the company.

All of the securities issuable in connection with the offering will be subject to a hold period of four months and one day in accordance with applicable securities laws and the policies of the exchange.

The company also announced that it will not be proceeding with its proposed private placement of up to 10 million common shares at 7.5 cents per share previously announced on April 28, 2026.
