MAPLE LEAF GREEN WORLD INC. ANNOUNCES BOARD CHANGES AND RECONSTITUTION OF AUDIT COMMITTEE

Maple Leaf Green World Inc. has made changes to its board of directors and reconstituted its audit committee as part of its continuing continuous disclosure remediation and application for revocation of the failure-to-file cease trade order (FFCTO).

Board changes and director appointment

Louis Kin Man Sing has tendered his resignation as a director of the company, effective immediately, to facilitate the reconstitution of the board and the audit committee.

Effective immediately, the board has appointed Pat Gramlich as an independent director to fill the vacancy created by Mr. Sing's resignation pursuant to the Business Corporations Act (Alberta). Mr. Gramlich will hold office until the close of the company's next annual general meeting of shareholders, at which time he will stand for election by shareholders.

Mr. Gramlich brings over 25 years of senior executive management and commercial operating experience, with extensive oversight in financial reporting, corporate budgeting and operational governance.

Reconstitution of audit committee and Form 52-110F2 disclosure

Following the appointment of Mr. Gramlich, the board has reconstituted the audit committee, which now comprises:

  • Thomas West (chair) -- independent director;
  • Mr. Gramlich -- independent director;
  • Herman Xiwen Luo -- chief financial officer and director.

The board has determined that a majority of the audit committee members (Mr. West and Mr. Gramlich) are independent and not executive officers, employees or control persons of the company or an affiliate, satisfying the composition requirements of Section 6.1.1 of National Instrument 52-110, Audit Committees, for venture issuers.

The board has also determined that all three members of the audit committee are financially literate within the meaning of NI 52-110. Pursuant to Section 3 of Form 52-110F2, Mr. Gramlich's relevant education and experience include:

  • Understanding of accounting principles: comprehensive practical knowledge of Canadian international financial reporting standards (IFRS) relevant to development-stage commercial operations;
  • Application to estimates, accruals and provisions: over two decades of direct experience evaluating operational budgets, revenue recognition, contract terms, asset impairments and expense accruals;
  • Financial statement analysis: proven experience analyzing and assessing the breadth and complexity of financial statements comparable with those of the company;
  • Internal controls: direct experience designing, implementing and supervising internal control procedures and operational financial reporting systems.

Filing of amended and restated Q1 2026 interim financial statements

The company has refiled on SEDAR+ its amended and restated Q1 2026 interim financial statements, together with updated Form 52-109F2R certifications. The amended Q1 2026 interim financial statements incorporate a comprehensive subsequent events note (Note 18) in accordance with IAS 10 (Events after the Reporting Period), disclosing material corporate developments occurring subsequent to March 31, 2026, including the board and officer changes, the reconstitution of the audit committee, the transition of the company's registrar and transfer agent to Endeavor Trust Corp., debt status, and the AGM undertaking.

Update on cease trade order revocation

The company continues to work co-operatively with staff of the Alberta Securities Commission to address all remaining comments in connection with its continuous disclosure review and to secure the revocation of the FFCTO issued on May 6, 2025. The company has prepared a further revised draft of its amended and restated interim financial statements for the period ended March 31, 2026 (incorporating IAS 10 subsequent event disclosures), and expects to file the restated statements together with updated certifications (Form 52-109F2R) upon regulatory confirmation.

The company's securities remain subject to the FFCTO and trading remains halted. Revocation of the FFCTO remains subject to the satisfaction of all regulatory requirements and the discretion of the Alberta Securities Commission, and there can be no assurance as to when or whether the FFCTO will be revoked.
