The TSX Venture Exchange has accepted for filing documentation the business combination agreement dated July 2, 2025, as amended on Feb. 13, 2026. Pursuant to the agreement, Crown PropTech Acquisitions (CPTK) has entered into a transaction with Mkango Rare Earths Ltd. (formerly known as Lancaster BVI) and certain other subsidiaries of the issuer. The agreement outlines the reorganization and merger of CPTK and the Mkango subsidiaries as the resulting issuer (MKAR) and MKAR's listing on the Nasdaq Stock Market.

To comply with exchange policies and ensure necessary oversight of MKAR as a subsidiary of the issuer following completion of the transaction, the issuer obtained disinterested shareholder approval at its June 5, 2026, annual general and special shareholder meeting to allow the future oversight of MKAR's future security issuances to be subject to the continuing regulation and oversight by the U.S. Securities and Exchange Commission (SEC) and Nasdaq.
