DEEPMARKIT ANNOUNCES CLOSING OF SECOND TRANCHE OF PRIVATE PLACEMENT

DeepMarkit Corp. has closed the second tranche of its previously announced (May 15, 2024, and June 26, 2024) private placement of units.

Pursuant to the closing of the second tranche of the offering, the company issued 700,000 units for a price of 10 cents per unit, for gross proceeds of $70,000. Each unit comprises one common share of DeepMarkit and one common share purchase warrant. Each warrant will entitle the holder to purchase one additional common share at an exercise price of 20 cents for a period of two years from the date of issuance.

Finders' fees of $4,200 in cash were paid to Raymond James Ltd. in connection with this second tranche of the private placement. In addition, 4,200 broker's warrants were issued to Raymond James, with each broker's warrant entitling the holder thereof to receive one common share at a price of 14.5 cents per common share.

DeepMarkit intends to use the net proceeds of the offering for general working capital purposes.

Completion of the private placement is subject to regulatory approval, including approval of the TSX Venture Exchange. The common shares, warrants and broker's warrants issued will be subject to a four-month hold period from the date of the closing of the offering.
