The TSX Venture Exchange has accepted for filing documentation the share purchase agreement dated Nov. 18, 2025, among the company and arm's-length parties to the company. Pursuant to the terms of agreement, the company has acquired a 100-per-cent interest in Prospect Prediction Markets Inc. from the vendors. In consideration of the transaction, the company has issued 9,999,993 common shares of the company at a deemed price of six cents per share. All shares are subject to a voluntary hold period. As additional consideration, the company is obligated to pay the vendors a one-time cash amount of $50,000 within 90 days of closing and additional cash amounts of up to $800,000 based on certain milestones. The transaction also includes the appointment of Trevor Broad as chief technology officer and director of the company.
