The TSX Venture Exchange has accepted for filing documentation relating to a financing agreement dated Jan. 12, 2026, between Monumental Energy Corp. NZ Ltd. (a wholly owned subsidiary of the company) and a non-arm's-length vendor, NZEC Waihapa Ltd. (a wholly owned subsidiary of New Zealand Energy Corp.). Pursuant to the terms of the agreement, Monumental will participate in mutually agreed-upon appraisal and development workover projects with the vendor to increase oil and gas production within the licensed area. In consideration for financing New Zealand Energy's share of the projects, Monumental will be granted a royalty effective upon the satisfaction of all conditions precedent and the commencement of production. The initial royalty is payable at 75 per cent of net receipts, on a quarterly basis, until Monumental recovers its costs. Subsequently, the vendor will pay a final royalty to Monumental equal to 25 per cent of net receipts.

The transaction is non-arm's length in nature and no finders' fees are payable.
