This news release is issued under the early warning requirements of National Instrument 62-104 Take-Over Bids and Issuer Bids and National Instrument 62-103 The Early Warning System and Related Take-Over Bid and Insider Reporting Issues.

The Arrangement

The transaction giving rise to this news release was the completion, on October 29, 2026, of a statutory plan of arrangement under the Business Corporations Act (British Columbia) (the "Arrangement"). Under the Arrangement, the Company acquired all of the issued and outstanding common shares ("Monteoro Shares") of Monteoro Resources Ltd. (formerly Monteoro Minerals Ltd.). Each Monteoro Share was exchanged for one Common Share, at a deemed issue price of C$0.75 per Common Share, and each outstanding stock option of Monteoro Resources Ltd. was exchanged for a stock option of the Company. The Common Shares were not acquired on a marketplace.

Holdings of the Reporters

Immediately before the Arrangement, none of the Reporters owned or controlled any Common Shares or other securities of the Company. Immediately after the Arrangement, each Reporter had ownership of, or control or direction over, the following securities of the Company:

Katharine Allen Adams, of Little Rock, Arkansas, United States, holds 38,202,568 Common Shares, representing approximately 27.970% of the outstanding Common Shares.
