PROMINO NUTRITIONAL SCIENCES INC. ANNOUNCES FILING OF CORRECTIVE DISCLOSURE PURSUANT TO OSC REVIEW

Further to review by the Ontario Securities Commission (OSC) of Promino Nutritional Sciences Inc.'s disclosure and a subsequent request from OSC staff in connection therewith, the company has made corrective disclosure with respect to its annual management's discussion and analysis for the fiscal year ended Dec. 31, 2024 (the MD&A), and further filed its statement of executive compensation for the year ended Dec. 31, 2024.

Corrective disclosure was requested by OSC staff in connection with the company's application to revoke the failure-to-file cease trade order issued by the OSC on May 7, 2025. The corrective disclosure addresses various deficiencies, including:

• Updated corporate governance disclosures as required by Form 58-101F2 Corporate Governance Disclosure (Venture Issuers);
• Updated audit committee disclosures required by Form 52-110F2 Disclosure by Venture Issuers;
• Enhanced disclosures surrounding the company's related party transactions;
• Explanations of period-over-period financial variances.

For the purpose of making corrective disclosure, and in accordance with OSC Staff Notice 51-711 (Revised) -- Refilings and Corrections of Errors (SN 51-711), the company has filed the revised version of the MD&A on the company's profile on SEDAR+ providing additional details and clarifications with respect to the company's enhanced related party transactions, updated corporate governance and audit committee disclosure, and further explanations of period-over-period financial variances.

As a result, the company was placed on the errors and refilings list in accordance with SN 51-711 and the company will be noted on the list for a period of three years from the date of the filings noted above.
