VANCOUVER, BC, Sept. 10, 2026 /CNW/ -- Clayton Davis (the "Acquiror") announces that he has filed two early warning reports in respect of his ownership of common shares (the "Common Shares") in the capital of Nubeva Technologies Ltd. (the "Issuer"). The Common Shares trade on the TSX Venture Exchange (the "TSXV") under the symbol "NBVA".
On September 8, 2025, the Acquiror acquired 105,000 Common Shares through the facilities of the TSXV at a price of $0.0929 per Common Share for aggregate consideration of $9,754.50, excluding commission and other transaction costs. Immediately before the acquisition, the Acquiror beneficially owned and exercised control or direction over 6,933,268 Common Shares, representing approximately 9.88% of the then issued and outstanding Common Shares. Immediately after the acquisition, he beneficially owned and exercised control or direction over 7,038,268 Common Shares, representing approximately 10.03%.
On August 19, 2026, the Acquiror purchased an aggregate of 67,000 Common Shares and sold 6,000 Common Shares through the facilities of the TSXV for a net acquisition of 61,000 Common Shares. Aggregate purchase consideration was $11,114.40 and gross sale proceeds were $1,080.00, in each case, excluding commissions and other transaction costs. Immediately before the transactions, the Acquiror beneficially owned and exercised control or direction over 8,393,065 Common Shares, representing approximately 11.96% of the then issued and outstanding Common Shares. Immediately following the transactions, he beneficially owned and exercised control or direction over 8,454,065 Common Shares, representing approximately 12.05% of the then issued and outstanding Common Shares.
The Common Shares were acquired for investment purposes. The Acquiror intends to review his investment on a continuing basis and may, depending on market and other conditions, increase or decrease his beneficial ownership, control or direction over securities of the Issuer through market transactions, private agreements or otherwise.
