NDATALYZE CORP. ANNOUNCES CLOSING OF UNIT PRIVATE PLACEMENT
Ndatalyze Corp. has closed its previously announced non-brokered private placement of units. The offering consisted of 2,315,000 units for total gross proceeds of $277,800. Each unit consisted of one common share and one-half of one common share purchase warrant, with each warrant entitling the holder thereof to acquire one common share at 25 cents for 18 months from the date of issuance, subject to accelerated expiry provision described in the corporation's news release dated Oct. 6, 2023.
In connection with the offering, the corporation paid eligible finders aggregate cash finders' fees of approximately
$4,800 and issued 40,000 finders' options to purchase common shares of the corporation at an exercise price of
25 cents per common share, within 18 months from the closing date of the offering.
The
corporation
intends
to
use
the
gross proceeds
of
the sale of the units to
pay eligible finders' fees to eligible finders, to advance the corporation's
clinical
study
related to its YMI machine-learning-based mental health clinical decision system and for general working capital purposes.
The offering is subject to all necessary regulatory approvals, including acceptance from the exchange. All securities issued in connection with the offering will be subject to a four-month-plus-one-day hold period from the closing date under applicable Canadian securities laws, in addition to such other restrictions as may apply under applicable securities laws of jurisdictions outside Canada.
As at this date and including the offering proceeds, the corporation has working capital of approximately $975,000 and no debt.
