NDATALYZE CORP. ("NDAT" OR THE "CORPORATION") (CSE:NDAT) (OTC:NDATF) CLOSES ITS PREVIOUSLY-ANNOUNCED PRIVATE PLACEMENT

Ndatalyze Corp. has closed its previously announced private placement of one million common shares at 15 U.S. cents per share ($150,000 (U.S.)) to a single U.S. accredited investor. At a 1.375 exchange rate, this equates to approximately $206,250 and a subscription price of approximately 21 cents per share. A 6-per-cent finder's fee of $9,000 (U.S.) will be paid in cash to a third party and 90 per cent of the net proceeds will be allocated to the recently acquired Mindbalanced Inc. (MB) operations (Ndatalyze acquired 100 per cent of MB on April 16, 2024). The remainder will be used for general working capital. There are no warrants or rights attached to the shares and the shares will be subject to a minimum four-month hold period.
