Name change and consolidation

Pursuant to a resolution passed by the shareholders of the company dated Dec. 10, 2025, the company has consolidated its capital on a one-new-for-two-old basis. The name of the company has also been changed as follows.

Effective at the opening on Tuesday, July 14, 2026, the common shares of Asiatel Outsourcing Inc. will commence trading on the TSX Venture Exchange and the common shares of New Media Capital 2.0 Inc. will be delisted.

Escrow:  40 million common shares subject to a TSX-V escrow agreement
