ACQUISITION OF SECURITIES OF LUMIERA HEALTH INC.

Fusionworx Investment Group (the "Acquiror") announces that on December 27, 2024, the Acquiror acquired ownership of 46,500,000 common shares (the "Shares") of Lumiera Health Inc. (the "Issuer") pursuant to a debt settlement transaction (the "Debt Settlement"). The equivalent total consideration for the Debt Settlement was $465,000, settled through the issuance of 46,500,000 Shares at a price of $0.01 per Share.

Prior to the acquisition of Shares pursuant to the Debt Settlement, the Acquiror did not hold any Shares or convertible securities of the Issuer.

Immediately after the completion of the Debt Settlement, the Acquiror owns a total of 46,500,000 Shares and nil convertible securities of the Issuer and the Acquiror's non-diluted shareholdings represent approximately 19.89% of the Company's issued and outstanding Shares.

The Acquiror entered into the transaction for investment purposes. The Acquiror may increase or reduce its investment in the Issuer according to market conditions or other relevant factors.

The Acquiror is a corporation formed pursuant to the Canada Business Corporations Act. Its principal business is consulting and investment holdings and its head office is located at c/o 2300 boulevard Industriel, Chambly, QC J3L 4V2.
