ACQUISITION OF SECURITIES OF LUMIERA HEALTH INC.

On Feb. 16, 2025, 9206-8618 Quebec Inc. (the acquiror) acquired ownership of 7.5 million common shares of Lumiera Health Inc. pursuant to a debt settlement transaction. The equivalent total consideration for the debt settlement was $75,000, settled through the issuance of 7.5 million shares at a price of one cent per share.

Prior to the acquisition of shares pursuant to the debt settlement, the acquiror held 16,653,226 shares of the issuer, representing approximately 7.2 per cent of the company's issued and outstanding shares.

Immediately after the completion of the debt settlement, the acquiror now owns a total of 24,153,226 shares and nil convertible securities of the issuer and the acquiror's non-diluted shareholdings represent approximately 8.86 per cent of the company's issued and outstanding shares.

As a result of the debt conversion, Andre Rancourt, through himself, through 9482-9256 Quebec Inc. and 9206-8618 Quebec, now owns and controls an aggregate of 31,965,726 shares, representing approximately 11.73 per cent of the issued and outstanding common shares of the company. Mr. Rancourt does not, directly or indirectly, hold any convertible securities of the issuer.

The acquiror entered into the transaction for investment purposes. The acquiror and/or Mr. Rancourt may directly or indirectly increase or reduce its/his investment in the issuer according to market conditions or other relevant factors.

The acquiror is a corporation formed pursuant to the laws of Quebec. Its principal business is consulting and investment holdings and its head office is located at 262 rue du Pic-du-Lynx, Magog, Que., J1X 0E5.
