The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on March 1, 2024.

Number of shares:  6,666,665 common shares

Purchase price:  three cents per common share

Number of placees:  11 placees

Total pro group involvement:  1.33 million (four pro groups)

The company issued a news release on April 15, 2024, confirming the closing of the private placement.
