The TSX Venture Exchange has accepted for filing documentation with respect to the arm's-length acquisition of four mining leases in the Gowganda silver camp of Ontario. By way of consideration, the company will make cash payments totalling $1-million and will issue 4,401,408 common shares at a deemed price of 28.4 cents per share upon closing. In addition, the company will pay deferred consideration of $1.25-million on each of the first, second and third anniversaries of closing (aggregate of $3.75-million). At the election of the company, up to 50 per cent of each deferred payment may be satisfied in common shares based on a 25-day VWAP (volume weighted average price), subject to a maximum aggregate issuance of 10,938,610 common shares. In the event this maximum share limit is reached, any remaining balance of the deferred consideration must be satisfied entirely in cash. The property is subject to a 3.0-per-cent net smelter return (NSR) royalty in favour of the vendor.
