NUINSCO CLOSES PRIVATE PLACEMENT
Nuinsco Resources Ltd. has closed its private placement announced June 5, 2026. The company issued 21,957,000
common shares
for aggregate proceeds of $208,427.
Proceeds from the offering will be used to advance the company's Prairie Lake critical metals and phosphate project located near Terrace Bay, Ont., the Paradise Lake gold project in central Newfoundland and the Zig Zag Lake property (lithium, tantalum) near Armstrong, optioned to First Class Metals PLC, and for general corporate purposes.
Seventeen million five hundred thousand shares
(issued at a subscription price of one cent per share)
qualify as fow-through shares
within the meaning of Subsection 66(15) of the
Income Tax Act
(Canada). The
flow-through shares
will be renounced with an effective date no later than Dec. 31, 2026, to the initial purchasers in an aggregate amount not less than the gross proceeds raised from the sale of flow-through shares. A total of 4,457,000 shares were also issued
(at a subscription price of 0.75 cent), which
are not flow-through shares.
The shares issued pursuant to the offering are subject to a hold period expiring four months and one day from the issue date in accordance with applicable Canadian securities laws.
Finders' fees have been paid in connection with the offering to finders, as determined by mutual agreement between the company and the finders, consisting of 7 per cent in cash, totalling $3,400, and an additional 7 per cent (388,990) in compensation warrants. Each compensation warrant will permit the purchase of one common share in the capital of the company at a price of one cent per common share for a period of 18 months from closing of the offering.
