The TSX Venture Exchange has accepted for filing documentation pertaining to the share purchase agreement entered into on May 16, 2023, between EvokAI Creative Labs Inc. and certain arm's-length vendors for the 100-per-cent acquisition of NeuroCarrier Oy. Pursuant to the terms of the agreement, the company will issue a total of 2,202,000 common shares in the capital of the company at a deemed price of $2 (Canadian) per common share for an aggregate value of three million euros to the vendors in return for all the issued and outstanding shares of NeuroCarrier upon closing of the transaction.

The company may make additional contingency payments for up to an additional 367,000 common shares in the capital of the company to the vendors for an aggregate value of 500,000 euros based on NeuroCarrier reaching Medical Device Regulation Class I approval on or before Nov. 16, 2023.
