Elaine McDermid acquired 78,000 Pascal Biosciences Inc. common shares at four cents each on May 11, 2022.

Immediately before the transaction that triggered the requirement to file this news release, Ms. McDermid owned and/or exercised control or direction over an aggregate 6,503,500 common shares of the issuer, representing approximately 9.91 per cent of the issuer's then issued and outstanding common shares.

Immediately after the transaction that triggered the requirement to file this news release, Ms. McDermid owned and/or exercised control or direction over an aggregate 6,581,500 common shares of the issuer, representing approximately 10.03 per cent of the issuer's then issued and outstanding common shares.

As at the date of this news release, Ms. McDermid owns and/or exercises control or direction over an aggregate 6,785,500 common shares of the issuer, representing approximately 10.34 per cent of the issuer's issued and outstanding common shares.

The common shares were acquired through the facilities of the TSX Venture Exchange at a per-share price of four cents for total cash consideration of $3,120. The securities of the issuer owned by or over which Ms. McDermid exercises direction or control, were acquired for investment purposes and Ms. McDermid will evaluate the investment in the issuer and will increase or decrease the investment by future acquisitions or dispositions of securities of the issuer at her discretion, as circumstances warrant.
