PROPHECY DEFI ANNOUNCES UNIT OFFERING

Prophecy Defi Inc. intends to raise up to $600,000 through the issuance of up to five million units at a price of 12 cents per unit in a non-brokered private placement financing. Each unit will consist of one common share and one common share purchase warrant. Each common share purchase warrant is exercisable into one additional common share at a price of 20 cents for a period of five years from the closing date. A finder's fee may apply to a portion of the proceeds raised under the private placement.

Closing of the offering is subject to receipt of all necessary corporate and regulatory approvals. All securities issued pursuant to the private placement will be subject to a four-month hold period from the date of issue. Proceeds from the private placement will be used by the company for working capital and for other general and administrative costs.
