The TSX Venture Exchange has accepted for filing documentation relating to the purchase and sale agreement dated Sept. 15, 2025, and corresponding amendment to purchase and sale agreement dated Feb. 27, 2026, between Prospera Energy Inc. and an arm's-length joint venture party. Pursuant to the terms of the agreement, the company has acquired an additional 14-per-cent working interest in the Cuthbert property, resulting in the company holding 100 per cent of the working interest across its core Saskatchewan heavy oil properties.

Pursuant to the agreement, the total consideration for this acquisition is $1,226,744.13. The consideration is structured wherein the company and vendor have mutually agreed to forgive all of the prior debts owed to the company, totalling an amount of $1,027,110.64. In addition, the company issued 5,703,814 common shares at a deemed price of 3.5 cents and 5,334,550 common share purchase warrants. Each whole warrant is exercisable at five cents for a period of three years from the date of issuance.
