PTX METALS INC. ANNOUNCES SECOND CLOSING OF PRIVATE PLACEMENT

PTX Metals Inc. has closed the second tranche (with an additional closing anticipated to be completed this week) of its previously disclosed non-brokered private placement of hard-dollar (HD) and flow-through (FT) units (see news releases dated Sept. 8, 2025, Sept. 16, 2025, Sept. 28, 2025, and Sept. 30, 2025). Under the second closing, the company issued: (i) a total 7,023,805 flow-through units at a price of 13.5 cents per FT unit for aggregate gross proceeds of $948,213.68; and (ii) a total of 2.92 million hard-dollar units for aggregate gross proceeds of $298,000, for total proceeds from the second closing of $1,246,213. When combined with the $3,252,716.70 raised in the first closing, the company has raised a total of $4,498,930 to date.

The HD units were issued pursuant to the listed issuer financing exemption (LIFE) under Part 5A of National Instrument 45-106, Prospectus Exemptions, and as modified by Coordinated Blanket Order 45-935, Exemptions from Certain Conditions of the Listed Issuer Financing Exemption. Pursuant to the LIFE, the securities underlying the HD units are not subject to a hold period under Canadian securities laws. The FT units were sold to investors pursuant to exemptions from the prospectus requirements other than the LIFE and are subject to a hold period of four months and one day following issuance.

In addition, the company paid a total of $25,779.08 in finders' fees and issued a total of 192,771 finders' warrants to eligible finders. Each finder's warrant entitles the holder thereof to purchase one common share at a price of 14 cents (subject to adjustment) for a period of two years following the issuance of the finder's warrant. The finders' warrants will be subject to a statutory hold period in Canada of four months and one day after the issuance of the finders' warrants.

Each FT unit and each HD unit consists of one common share and one-half of one share purchase warrant. Each warrant is exercisable to acquire one additional common share at a price of 16 cents per warrant share for a period of 36 months from the date of issuance. The warrants issued pursuant to the LIFE are subject to a restriction on exercise expiring 61 days following the date of issuance.

The Company cntends to use the proceeds from the issuance of the HD units for general corporate expenses and working capital purposes.

The gross proceeds from the issuance of the FT units will be used to incur eligible Canadian exploration expenses as defined in Subsection 66.1(6) of the Income Tax Act (Canada) that qualify as flow-through critical mineral mining expenditures, as defined in Subsection 127(9) of the tax act, related to the company's projects in Ontario. The qualifying expenditures will be incurred on or before Dec. 31, 2026, and will be renounced by the company to the purchasers of the FT units with an effective date no later than Dec. 31, 2025, in an aggregate amount not less than the gross proceeds raised from the issue of the FT units.
