The TSX Venture Exchange has accepted for filing documentation with respect to a share purchase agreement dated Feb. 18, 2026, between Parvis Invest Inc. and the shareholders of Richmond Global Wealth Management (RGW), pursuant to which the company acquired all of the issued and outstanding shares of RGW.

Consideration:  1.6 million common shares issued on closing at a deemed price of 50 cents per share

The transaction constitutes a non-arm's-length reviewable transaction under exchange policies. Disinterested shareholder approval for the transaction was obtained by way of written consent.
