PLANET VENTURES INC. ANNOUNCES FILING OF EARLY WARNING REPORT

Planet Ventures Inc. has filed an early warning report pursuant to the requirements of National Instrument 62-103, The Early Warning System and Related Take-Over Bid and Insider Reporting Issues, and National Instrument 62-104, Take-Over Bids and Issuer Bids, in connection with the company's acquisition of common shares in the capital of Leocor Mining Inc., pursuant to a private placement of units of Leocor completed on March 26, 2026.

Leocor is a reporting issuer in the reporting jurisdictions of British Columbia, Alberta and Ontario, and its common shares are listed on the Canadian Securities Exchange under the trading symbol LECR.

The company acquired the units consisting of 20 million common shares and 20 million transferable common share purchase warrants upon completion of the offering. As a result of the acquisition, the acquiror beneficially owns an aggregate 34,855,083 common shares, representing 17.58 per cent of the 198,232,402 common shares issued and outstanding postclosing of the offering, on a non-diluted basis, and warrants exercisable into 24 million common shares. The warrants are subject to a blocker provision providing that the acquiror shall not be entitled to exercise any warrants to the extent that, after giving effect to such exercise, the acquiror would beneficially own more than 20 per cent of the common shares issued and outstanding at the time of exercise.
