RECORD RESOURCES ANNOUNCES PRIVATE PLACEMENT

Record Resources Inc. has arranged a non-brokered private placement offering of units of the company at a price of six cents per unit for up to $200,000 in aggregate gross proceeds.

Each unit will consist of one common share of the company and one common share purchase warrant. Each warrant will entitle the holder thereof to acquire one common share at an exercise price of nine cents per warrant share for a period of 30 months following date of issuance.

The company plans to use the net proceeds of the offering for working capital and general corporate purposes.

The closing of the offering is subject to certain customary conditions, including the receipt of all necessary approvals of the TSX Venture Exchange. The offering will be offered by way of a private placement to accredited investors in each of the provinces of Canada, and may also be offered in those other jurisdictions where the offering can lawfully be made, including the United States under applicable private placement exemptions. All securities issued pursuant to the offering will be subject to a hold period of four months and one day from the date of issuance.

The company will pay finders' fees consisting of a cash fee equal to 7.0 per cent of the aggregate gross proceeds, and issue such number of finders' warrants that is equal to up to 7.0 per cent of the number of units purchased. Each finder's warrant entitles the holder thereof to purchase one common share at an exercise price of six cents for a period of 30 months following the date of issuance.
