REVIVE THERAPEUTICS ANNOUNCES CLOSING OF FIRST TRANCHE OF NON-BROKERED PRIVATE PLACEMENT

Revive Therapeutics Ltd. has closed the first tranche of its previously announced non-brokered private placement for gross proceeds of $246,920.

The private placement consisted of the issuance and sale of 7,716,250 units of the company, at a price of 3.2 cents per unit. Each unit issued pursuant to the private placement consists of one common share of the company and one common share purchase warrant. Each warrant will entitle the holder to acquire one common share at an exercise price of five cents for a period of 36 months following the closing date of the private placement.

The company intends to use the gross proceeds from the private placement primarily for working capital purposes.

In connection with the first tranche closing, the company has also paid certain finders an aggregate of $17,433.60 and issued an aggregate of 537,300 broker warrants to purchase common shares. Each broker warrant will entitle the holder to purchase one common share at an exercise price equal to five cents for a period of 36 months following the closing of the private placement.

The company will provide an update on any further closings under the private placement.

All of the securities will be subject to a hold period of four months and one day from the date of issuance.
