Effective at the close of business on Wednesday, Aug. 5, 2026, the common shares of SSC Security Services Corp. will be delisted from the TSX Venture Exchange. The delisting of SSC Security shares results from the completion of a court-approved plan of arrangement under the provisions of the Business Corporations Act, 2021 (Saskatchewan), pursuant to an arrangement agreement among Universal Protection Service LP (Allied), 102236724 Saskatchewan Ltd., a wholly owned subsidiary of Allied (the purchaser), and SSC Security, dated May 26, 2026. Pursuant to the arrangement agreement, the purchaser acquired all of the issued and outstanding common shares of SSC Security.

As a part of, and concurrent with, the arrangement, SSC Security and its wholly owned subsidiary, Logixx Security Inc., also disposed of their legacy agriculture and cybersecurity businesses to a corporation controlled by SSC Security's management for aggregate consideration of $2,625,695.16 (including assumption of liabilities), pursuant to a management buyout transaction (MBO). In addition, as part of the arrangement, the purchaser, SSC Security and Logixx amalgamated to form Logixx Security Inc.

Under the terms of the arrangement, each SSC Security shareholder is entitled to receive $4.4075 in cash for each common share of SSC Security held. The exchange has been advised that approval of the arrangement by SSC Security shareholders was received at a special meeting of shareholders held on July 22, 2026, and that a final order approving the arrangement was issued by the Court of King's Bench of Saskatchewan on July 27, 2026. The arrangement became effective on July 31, 2026.
