The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 6, 2022, and Dec. 15, 2022.

Number of shares:  six million shares

Purchase price:  23 cents per share

Warrants:  2,999,999 share purchase warrants to purchase 2,999,999 shares

Warrant exercise price:  35 cents for a two-year period

Number of placees:  64 placees

Total existing insider involvement:  703,283 (three placees)

Total pro group involvement:  95,000 (one placee)

Finder's fee:  $16,585.76 cash and 72,112 warrants

Finder's warrant terms:  Each warrant is non-transferable and entitles the holder to purchase one common share at the price of 35 cents for period of two years from the date of issuance.

The company issued a news releases on Dec. 20, 2022, Dec. 21, 2022, and Jan. 13, 2023, confirming the closing of the first tranche and the second and final tranche of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
