The TSX Venture Exchange has accepted for filing documentation relating to a share purchase agreement dated March 22, 2026, among Black Swan Graphene Inc., its wholly owned subsidiary Black Swan Acquisition Inc. (the purchaser), Falpaco Rubber and Plastic Inc. (the target), and arm's-length sellers Claude Robichaud, Fiducie Familiale Robichaud and 9032-3627 Quebec Inc. (the sellers). Pursuant to the terms of the agreement, the company will acquire all the outstanding shares of the target through the purchaser. The target is a well-established Quebec-based manufacturer specializing in the custom moulding of plastic and rubber components. By way of consideration, the company will make a cash payment of $10.8-million and issue 1.8 million shares at a deemed price of $1 per share to the sellers at closing.

The transaction is arm's length in nature and no finders' fees are payable.
