CORRECTION: SWMBRD ANNOUNCES PROPOSED PRIVATE PLACEMENT OF UNITS FOR UP TO $1,240,200

SWMBRD Sports Inc. has arranged a non-brokered private placement consisting of up to 41.34 million units of the company at a price of three cents per unit for gross proceeds of up to $1,240,200.

Each unit will consist of one common share in the capital of the company and one common share purchase warrant. Each warrant will entitle the holder to acquire one additional common share at a price of five cents per share, for a period of two years from the date the units are issued.

The company plans to allocate the net proceeds of the offering for general working capital (including items such as product advertising and promotional initiatives, insurance, patent maintenance and advancement, legal fees, fulfilment and storage costs, salaries, audit fees, et cetera) and for payment of current outstanding debts.

The company may increase or decrease the size of the offering in its sole discretion. The offering will be non-brokered, but the company may, as determined in its sole discretion, pay reasonable customary brokers' and/or finders' fees, as applicable, in connection with the completion of the offering.

All securities issued pursuant to the offering will be subject to applicable resale restrictions, including a four-month hold from the date of issuance.
