The TSX Venture Exchange has accepted for filing documentation relating to the share purchase agreement dated April 15, 2026, between Trustbix Inc. and Zen Cyber Ltd., an arm's-length party. Pursuant to the terms of the agreement, the company acquired 100 per cent of the issued and outstanding shares of the vendor.

Pursuant to the terms of the agreement, the maximum consideration for this acquisition is $125,000. The acquisition is structured such that the company issued 1.25 million consideration units at a deemed price of two cents per consideration unit at the time of closing. Each consideration unit consists of one common share and one common share purchase warrant. Each whole warrant is exercisable at eight cents for a period of two years from the date of issuance. Subsequently, up to five million additional consideration units may be granted upon the achievement of certain performance milestones. More specifically, these milestones include achieving an aggregate revenue of at least $715,000 and a profit of at least $100,000 within 12 months following the closing of this transaction.
