THUNDERBIRD ENTERTAINMENT RECEIVES FINAL ORDER APPROVING ARRANGEMENT WITH BLUE ANT

The Supreme Court of British Columbia issued a final order on Jan. 26, 2026, in connection with the previously announced plan of arrangement under the Business Corporations Act (British Columbia) pursuant to which Blue Ant Media Corp. will acquire all of the outstanding shares in the capital of Thunderbird. The final order was the final substantive court approval required prior to the closing of the arrangement. Assuming all other terms and conditions, including applicable stock exchange and regulatory approvals, to the arrangement are satisfied, it is expected that the arrangement will be completed in the coming weeks.

The arrangement was approved by Thunderbird shareholders at a special meeting held on Jan. 22, 2026. It is anticipated that the shares will be delisted from the TSX Venture Exchange and the OTC Markets, and that Blue Ant will apply to have Thunderbird cease to be a reporting issuer in all jurisdictions in which it is a reporting issuer under Canadian securities laws, in each case shortly after completion of the arrangement.

The terms of the arrangement and the arrangement agreement between the company and Blue Ant dated Nov. 25, 2025, are further described in the company's management information circular dated Dec. 11, 2025, and related materials for the special meeting of shareholders of the company held in connection with the arrangement, all of which are available under the company's profile on SEDAR+.
