TORRENT GOLD INC. ANNOUNCES $360,000 PRIVATE PLACEMENT OFFERING

Torrent Gold Inc. intends to complete a non-brokered private placement of up to 2.4 million units of the company at a price of 15 cents per unit for aggregate gross proceeds of up to $360,000. The company reserves the right to increase the size of the offering in its sole discretion. The offering is not subject to a minimum subscription amount.

Each unit will consist of one common share of the company and one common share purchase warrant of the company. Each warrant entitles the holder thereof to acquire one share at any time for a period of 24 months following the closing date of the offering at a price of 20 cents per share.

It is expected that the net proceeds from the offering will be primarily used for general working capital purposes.

Any securities to be issued under the offering will be subject to a hold period of four months and one day from the closing date of the offering in accordance with applicable Canadian securities laws and such other further restrictions as may apply under foreign securities laws.
