The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 4, 2023.

Number of shares:  15 million flow-through shares

Purchase price:  2.5 cents per flow-through share

Number of placees:  four placees

Insider/pro group participation:  nil

Finder's fee:  $22,750 cash and 910,000 finder's warrants

Finder's warrant terms:  Each finder's warrant entitles the holder to purchase one common share at the price of five cents for a period of 24 months.

The company issued a news release on Dec. 18, 2023, confirming the closing of the private placement.
