TRIPLE ONE METALS INC. ANNOUNCES CLOSING OF FINANCING - OVERSUBSCRIBED
Further to its press release dated Sept. 14, 2026, and Sept. 15, 2026, Triple One Metals Inc. has received
regulatory approval and has closed its financing as to $999,935.1 and will issue 33,331,170 units at three cents. Each unit
will consist of one common share and one warrant exercisable for two years at five cents.
The use of proceeds will be for exploration, regulatory, audit fees, legal fees and working capital. While the company
intends to spend the proceeds from the financing as stated above, there may be circumstances where, for sound
business reasons, funds may be reallocated at the discretion of the board.
A cash finder's fee of 10 per cent, or $46,357.50, has been agreed to be paid.
One insider of the company subscribed for a total of 4,245,000 units. As such, this participation constitutes a related
party transaction as defined under Multilateral Instrument 61-101, Protection of Minority Security Holders in Special
Transactions. Such participation is exempt from the formal valuation and minority shareholder
approval requirements of MI 61-101 as neither the fair market value of the common shares acquired by the insider
nor the consideration for the common shares paid by such insider exceeds 25 per cent of the company's market
capitalization. The company did not file a material change report 21 days prior to the closing date of this private
placement as details of the respective participation of such insider in the offering were unknown at such time.
The securities that have been issued are subject to a hold period ending Jan. 23, 2027.
The company confirms there are no material facts or material changes related to the company that have yet to be
generally disclosed.
