The TSX Venture Exchange has consented to the extension in the expiry date of the following warrants.

Private placement

Number of warrants:  4,092,000

Original expiry date of warrants:  April 7, 2026

New expiry date of warrants:  April 7, 2027

Exercise price of warrants:  70 cents

These warrants were issued by TRG Exploration Corp., a subsidiary of the issuer, pursuant to a private placement offering of TRG at 50 cents per unit, whereby each unit consisted of one common share of the TRG and one-half of one common share purchase warrant; each whole warrant was exercisable for an additional share of TRG at 70 cents per share, expiring on April 7, 2025. The warrants were subsequently amended by TRG such that they expire on April 7, 2026. The issuer completed its reverse takeover transaction with TRG on Oct. 20, 2025, and all issued and outstanding warrants of TRG that were exercisable to acquire TRG shares ceased to represent a right to acquire the TRG shares and provides the right to acquire common shares in the capital of the issuer. The reverse takeover transaction was accepted for filing by the exchange effective Oct. 20, 2025.
