The TSX Venture Exchange has accepted for filing documentation pertaining to an option agreement dated Dec. 19, 2025, as amended, between Total Metals Corp. and an arm's-length party. Pursuant to the agreement, the company acquired the option to earn a 100-per-cent interest in the Menary gold project, located in the Kenora mining division of Ontario.

The total consideration to acquire the 100-per-cent interest in the property, payable over a four-year period, is $2.02-million, which will be paid through aggregate payments of $1.01-million in cash and the issuance of $1.01-million in common shares in the capital of the company. The shares are to be issued at a price based on the prior 20-day volume weighted average price, subject to a minimum deemed price of 35 cents per share and an aggregate maximum issuance of 2,885,714 shares.

The property is being acquired subject to a pre-existing 4.5-per-cent net smelter return (NSR) royalty.

The transaction is arm's length in nature and no finder's fee is payable.
