TERRAVEST ANNOUNCES RENEWAL OF NORMAL COURSE ISSUER BID FOR ITS COMMON SHARES
TerraVest Industries Inc. has received the approval of the Toronto Stock Exchange to make a normal course issuer bid for up to 1,545,961 of its issued and outstanding common shares on the TSX.
Purchases under the bid may commence on Aug. 24, 2026, and will terminate on Aug. 23, 2027, or on such earlier date as the bid is complete. Purchases of shares will be made either through the facilities of the TSX in accordance with its rules or through alternative Canadian trading systems.
The average daily trading volume of the shares (excluding shares acquired by the corporation) for the six calendar months ended July 31, 2026, was 103,729 shares. Subject to the TSX's block purchase exception, on any trading day, purchases under the bid will not exceed 25,932 shares. The price that the corporation will pay for any shares purchased under the bid will be the prevailing market price at the time of purchase. Any shares purchased by the corporation will be cancelled.
As of Aug. 11, 2026, there were 21,425,640 shares issued and outstanding. The 1,545,961 shares that may be repurchased under the bid represent approximately 10 per cent of the public float of shares on Aug. 11, 2026.
Pursuant to the corporation's normal course issuer bid, which commenced on Aug. 22, 2025, and terminates on Aug. 21, 2026, the corporation had obtained approval to purchase up to 1,558,516 shares, and, as of Aug. 11, 2026, purchased 260,055 shares at a weighted-average price of $115.36 per share. Purchases by the corporation were made through the facilities of the TSX in accordance with its rules or through alternative Canadian trading systems.
The board of directors of the corporation has authorized the bid because it believes that it is an efficient use of the corporation's financial resources to purchase shares when the market price of the shares does not fully reflect their underlying value.
