The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 6, 2022, Dec. 7, 2022, and Dec. 19, 2022.

Number of shares:  7,055,795 units (Each unit consists of one common share and one common share purchase warrant.)

Purchase price:  65 cents per unit

Warrants:  7,055,795 share purchase warrants to purchase 7,055,795 shares

Warrant exercise price:  85 cents for a two-year period

Number of placees:  66 placees

Total existing insider involvement:  1,785,000 (one placee)

Total pro group involvement:  750,000 (six placees)

Finder's fee:  $24,115 cash and 370,140 warrants

Finder's warrant terms:  Each finder's warrant (non-transferable) entitles the holder to purchase one common share at the price of 65 cents for a period of two years from the date of issuance.

The company issued a news release on Dec. 23, 2022, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
