VITAL INFRASTRUCTURE ANNOUNCES DETAILS OF AGREED NEW LEASE WITH CALVARY HEALTH CARE FOR 12 AUSTRALIAN HOSPITALS FOLLOWING HEALTHSCOPE CREDITOR APPROVAL

Vital Infrastructure Property Trust has been advised that McGrathNicol, in its capacity as receiver for the parent company of Healthscope Pty. Ltd. (HSO), has confirmed that creditors have voted in favour of a proposal from a consortium of hospital operators to acquire HSO's remaining hospital operations. Subject to the execution of definitive documentation, receipt of regulatory approvals and completion of an orderly transition process, the REIT expects Calvary Health Care to become the tenant of its 12 Australian hospital properties currently leased to HSO and held through a joint venture in which the REIT owns a 30-per-cent interest.

Under the REIT's lease arrangement with Calvary, the REIT will provide lease incentives equal to approximately 13 per cent of annual base rent during the first 48 months of the new lease. Based on the REIT's 30-per-cent ownership interest in the portfolio, these incentives are expected to reduce annualized adjusted funds from operations (AFFO) by approximately one cent per unit during the incentive period. The lease term across the 12 properties will be extended by approximately 5.5 years, increasing the portfolio's weighted average lease expiry (WALE) to approximately 18 years. In addition, the lease will include enhanced annual rent indexation provisions and a rent review mechanism in the fifth year of the new lease. The revised lease terms are expected to result in an approximately 10 per cent reduction in the fair value of the REIT's interest in the properties. The new lease is expected to commence upon completion of the consortium's acquisition of HSO's remaining hospital operations, which is currently targeted to occur by Nov. 30, 2026, subject to the satisfaction of applicable conditions and receipt of regulatory approvals.

During the transition period, the REIT's 12 Australian hospital properties will remain open and operational. As of the date of this release, all rent due to the REIT has been paid, and HSO continues to meet its lease obligations.
