TEMPRAMED ANNOUNCES UPSIZE TO OFFERING

Tempramed Technologies Ltd. has upsized the non-brokered private placement previously announced on Wednesday, Sept. 23, 2026. The upsized offering will include up to $600,000 in unsecured convertible debentures and up to $1-million in units for aggregate gross proceeds of up to $1.6-million.

Each unit will consist of one common share of the company and one share purchase warrant of the company. Each warrant will entitle the holder thereof to purchase one additional share at a price of $1 at any time on or before the date which is 18 months after the closing date of the upsized offering.

The debentures issued under the upsized offering will bear interest at a rate of 10 per cent per annum, calculated monthly and payable quarterly in cash. The debentures will mature on the one-year anniversary following the date of issuance. The outstanding principal amount owed under a debenture may be converted into share at a conversion price of 50 cents per share by the holder thereof at any time on or before the maturity date. On the maturity date, the holders of the debentures may convert the outstanding principal amount, together with any accrued and unpaid interest thereon, into shares at the conversion price.

The proposed use of proceeds from the upsized offering is to finance new inventory, and product development and to scale the sales and marketing division globally, as well as for general working capital.

All securities issued in connection with the upsized offering will be subject to a statutory hold period of four months and one day following the date of issuance in accordance with applicable Canadian securities laws. The upsized offering is subject to approval by the Canadian Securities Exchange and the filing of all required documentation.
