PHILADELPHIA, PA -- August 11, 2026 -- VSBLTY Groupe Technologies Corp. (CSE: VSBY) (OTCQB: VSBGF)
(Frankfurt: 5VS) ("VSBLTY" or the "Company"), a leading provider of AI-driven security and retail analytics
software, today announced the filing of its audited consolidated financial statements and management's
discussion and analysis ("MD&A") for the fiscal year ended December 31, 2025, on SEDAR+. The
Company expects to apply to the British Columbia Securities Commission for revocation of the cease trade
order currently in effect.

2024, reflecting a deliberate pivot toward higher-value professional services and deployment-related

dot Professional services revenue more than doubled to $778,475 from $340,098 in 2024, an increase of
129%, reflecting the Company's growing pipeline of enterprise and government security deployments.
dot Hardware and deployment-related revenue increased 376% to $264,883 from $55,587, underscoring
the transition from proof-of-concept to active deployment of VSBLTY's AI platform.
dot General and administrative expenses reduced 27% to $2,192,366 from $3,024,851, and sales and
marketing expenses reduced 24% to $1,013,379 from $1,336,186, demonstrating the Company's
commitment to operational discipline.
dot Comprehensive loss for the year decreased to $7,863,928 from $8,173,256 in fiscal 2024, a reduction
of approximately 4%.
dot The Company recorded a non-cash impairment charge of $988,427 related to the Winkel MSA
intangible asset.
Subsequent Events and Capital Activity
Subsequent to year-end, the Company:
dot Completed a non-brokered private placement of 8,125,395 units at CAD$0.105 per unit for gross
proceeds of approximately CAD$853,166;
dot Settled approximately $1.2 million in aggregate indebtedness through the issuance of common shares
and units;
dot Converted $254,916 in convertible debt principal plus $104,159 in accrued interest into equity; and
dot Issued promissory notes totaling $131,000 to support working capital requirements.
2026 Business Momentum
In the first half of 2026, the Company has announced several significant business developments, including:
dot A $2.5 million contract for the initial deployment of its multi-sensor governed intelligence platform;
dot A strategic partnership with Burkhan World to accelerate AI security and infrastructure deployments
across South Asia, the Middle East, and Africa;
dot A Letter of Intent with Brightside Group S.A. for strategic defense, public safety, and digital
infrastructure projects in the Philippines; and
dot The introduction of its counter-drone detection platform to the Gulf region.

About the Cease Trade Order
On May 5, 2026, the British Columbia Securities Commission issued a cease trade order in connection with
the Company's delay in filing its audited annual financial statements and related filings for the fiscal year
ended December 31, 2025. With the filing of these documents now complete, the Company intends to
apply for revocation of the cease trade order and expects trading of its common shares to resume on the
Canadian Securities Exchange promptly thereafter.
