Victory Square Technologies Inc. has declared a dividend of 1.1 million Class A common shares in the capital of Yocale.ai Inc. (Yocale) held by Victory Square to shareholders of Victory Square.

The dividend will be distributed to Victory Square shareholders of record as of the close of business on April 24, 2026, at a rate of approximately 10.549 Yocale shares for each 1,000 Victory Square shares held. The dividend ratio is based on approximately 104,277,471 Victory Square shares issued and outstanding on the date hereof.

The dividend is expected to be issued to Victory Square shareholders on April 30, 2026.
