CHAMPION GAMING ANNOUNCES CLOSING OF PRIVATE PLACEMENT

Further to the press release of Aug. 1, 2023, Champion Gaming Group Inc. has closed a non-brokered private placement through the issuance of 4,375,110 units at a price of nine cents per unit for aggregate gross proceeds of $393,759.90. Each unit is composed of one common share in the capital of the company and one common share purchase warrant of the company. Each warrant entitles the holder thereof to acquire one common share at a price of 20 cents per common share for a period of two years from the closing of the offering.

The company paid certain eligible persons cash commissions in the aggregate amount of $13,032 and issued 144,800 broker warrants. Each broker warrant entitles the holder thereof to acquire one common share at a price of 20 cents per common share for a period of two years from the closing of the offering.

All securities issued pursuant to the offering are subject to a hold period of four months plus a day from the date of issuance and the resale rules of applicable securities legislation. The net proceeds from the sale of the units will be used for general working capital purposes. The closing of the offering is subject to certain conditions, including, but not limited to, the receipt of all necessary regulatory and other approvals, including the approval of the TSX Venture Exchange.
