("VCC") of 2050 - 1055 West Georgia Street, Vancouver, BC V6E 3P3 has filed an early warning report dated August 11, 2023 advising of their holdings in Zoglo's Food Corp. (the "Issuer"). On July 27, 2023, VCC acquired ownership of 20,000,000 Common shares in the capital of the Issuer ("Shares") representing approximately 18.83% of the issued and outstanding Shares on a non-diluted basis (the "Acquisition"). The Shares were acquired at a price of $0.0002 per Share for a total consideration of $4,000.00 pursuant to the terms and conditions of a share purchase agreement. Prior to the Acquisition, VCC did not own any Shares. VCC does not have any plans or future intentions to acquire more Shares. This press release is issued pursuant to National Instrument 62-103 - The Early Warning System and Related Take-Over Bid and Insider Reporting Issues, which also requires a report to be filed with regulatory authorities in each of the jurisdictions containing additional information with respect to the foregoing matters (the "Early Warning Report").
