BIOSENTA CLOSES PRIVATE PLACEMENT FINANCING

Biosenta Inc. has closed its private placement for gross proceeds of $500,000, as previously announced on Dec. 15, 2023. Biosenta issued 1.25 million units under the offering at a price of 40 cents per unit, with each unit consisting of one common share in the capital of the company and one-half of one common share purchase warrant. Each warrant entitles its holder to acquire one common share at a price of 80 cents for a period of 18 months from the closing date of the offering.

The securities issued pursuant to the offering will be subject to a four-month-plus-one-day hold period expiring April 29, 2024, as prescribed by applicable Canadian securities laws.

As a result of closing the offering, there are 27,656,591 common shares of Biosenta issued and outstanding on a non-diluted basis.

The company intends to use the net proceeds from the offering for general corporate purposes.

The company did not incur any finders' or brokers' fees in connection with the offering.
