BIOSENTA ANNOUNCES PRIVATE PLACEMENT FINANCING

Biosenta Inc. has arranged a non-brokered private placement financing of up to 1.5 million units of the company at a price of 40 cents per unit for aggregate gross proceeds of up to $600,000.

Each unit will consist of one common share in the capital of the company and one-half of one common share purchase warrant. Each warrant will entitle the holder thereof to acquire, subject to adjustment in certain events, one common share in the capital of the company at an exercise price of 80 cents for a period of 18 months from the closing date of the offering.

The company intends to use the net proceeds of the offering for general corporate purposes.

The closing of the offering is expected to occur on or about April 26, 2024, or such other date or dates as the company may determine.

The securities issued pursuant to the offering shall be subject to a four-month-plus-one-day hold period from the closing date in accordance with applicable Canadian securities laws.
