The TSX Venture Exchange has accepted for filing the company's proposal to issue 1,912,031 shares at a deemed price of 6.5 cents per share to settle outstanding debt for $124,282.29.

Number of creditors:  17 creditors

Total non-arm's-length-party involvement:  $43,965.21, 676,388 shares at 6.5 cents (nine parties)

The company shall issue a news release when the shares are issued and the debt extinguished.
